§ 1 Scope
These Terms govern the use of LogikProject (the "Service"), a browser-based process-modeling, simulation, and project-tracking suite.
The Service is operated by Forvion UG (haftungsbeschränkt). Company registration details are set out in our Legal Notice (Impressum).
These Terms apply to all users of the Service, including Free, Basic, and Pro tiers, whether you use LogikProject as an individual, consumer, or as a business customer (Unternehmer, § 14 BGB).
Where consumer and business rules differ (for example, the 14-day withdrawal right under distance-selling rules), those differences are noted below. § 2 Service Description
LogikProject includes the following modules (availability depends on your subscription tier): LogikProject Canvas (process modeling and simulation), Notes, LogikAI, Kanban, Map (brainstorming), Planning, LogikReview, LogikSolve, and LogikFMEA.
Free and paid tiers (Basic and Pro) are described on our landing page pricing section. Tier limits and feature availability may change as the product evolves. [TODO: confirm final tier names/limits match what Paddle products will actually be configured as]
The Service is provided on an "as available" basis. No uptime SLA is guaranteed at the current stage of the product. [TODO: revisit once/if an SLA is commercially offered]
§ 3 Account Registration
Paid tiers require a user account. Free-tier account requirements follow the authentication setup in effect when Supabase auth is live.
You must provide accurate registration information, keep your login credentials confidential, and are responsible for activity under your account.
We may suspend or terminate accounts that violate our Acceptable Use rules (see § 5), with notice where feasible.

§ 4 Pricing, Payment, and Contract Term
Prices are displayed at checkout in EUR. VAT is included where applicable.
Payment processing and checkout are handled by Paddle.com Market Limited, company no. 8172165, registered office: Judd House, 18-29 Mora Street, London, EC1V 8BT, United Kingdom, acting as Merchant of Record and authorised reseller of the Service.
By purchasing a subscription, you also agree to Paddle's Buyer Terms, which govern the payment transaction and your relationship with Paddle as reseller. These Terms of Service (AGB) govern your relationship with Forvion and your use of the Service itself. Where the two documents address different subject matter, both apply; Paddle's Buyer Terms control matters relating strictly to the payment transaction (billing, cancellation mechanics, refunds, chargebacks).
Cancellation: subscriptions can be cancelled at any time via Paddle's Buyer Portal; cancellation takes effect at the end of the current billing period, per Paddle's Buyer Terms.
Refunds: all purchases are non-refundable by default, except where required by law or granted at Paddle's discretion. See Paddle's Refund Policy for full detail, including: a 14-day statutory withdrawal right for EU/EEA/UK/Turkey/Israel customers on the first payment of a subscription (this right does not apply to recurring renewal payments, with a narrow UK annual-renewal exception), and Paddle's discretionary refund review for other cases.
§ 5 License Grant and Acceptable Use
Forvion grants you a non-exclusive, non-transferable right to use the Service for the duration of your subscription or free-tier access.
You retain ownership of your own content (diagrams, notes, Kanban items, project data, and other materials you create in LogikProject).
- Do not upload or process illegal content through the Service.
- Do not attempt to reverse-engineer, scrape, or resell access to the Service.
- Do not abuse LogikAI or other AI features beyond your tier limits or fair use.
- Do not interfere with the security or availability of the Service.
We may suspend accounts that violate this section, with notice where feasible.
§ 6 Availability and Changes to the Service
We provide the Service on a reasonable commercial-effort basis. Scheduled maintenance may occur.
We may modify or discontinue features with reasonable notice before material changes affecting paid tiers take effect. [TODO: define notice period, e.g. 30 days for material changes affecting paid tiers]
Hosting is described in our Privacy Policy (Vercel, EU region). Infrastructure details are not restated here.
§ 7 Liability

We are liable without limitation for intent, gross negligence, and injury to life, body, or health.
For slight negligence, we are liable only for breach of essential contractual obligations (Kardinalpflichten), limited to foreseeable, contract-typical damage.
Liability for loss of data is limited to the cost of restoration that would have been avoided with regular backups appropriate to the risk.
Liability for indirect or consequential damages beyond the above is excluded to the extent permitted by law.
This limitation of liability applies to Forvion's liability for the Service itself. It is separate from, and does not affect, the liability terms set out in Paddle's own Buyer Terms, which independently limit Paddle's liability in its capacity as reseller/payment processor for the transaction.
§ 8 Term and Termination
Free tier: no fixed term; you may stop using the Service and delete your account at any time.
Paid tier: the term follows your selected billing cycle and renews automatically unless cancelled before the renewal date.
Either party may terminate for cause (e.g., material breach, non-payment, or Acceptable Use violations).
On termination, you may export your data before deletion. Data removal follows the policy in our Privacy Policy (immediate removal from active systems; residual backup retention as described there).
§ 9 Changes to these Terms
We may update these Terms and will notify users by email or in-app notice before changes take effect. [TODO: define notice period, e.g. 30 days]
Continued use after the effective date constitutes acceptance. Material changes affecting existing paid subscribers may require active consent, depending on final legal review.
§ 10 Final Provisions
Governing law: the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). [LEGAL REVIEW: confirm no conflicting mandatory consumer-protection rules for cross-border EU consumers under Rome I Regulation]
Place of jurisdiction for disputes: [TODO — typically Forvion's registered seat, e.g. Amtsgericht/Landgericht Traunstein; confirm with counsel, especially for B2C]
If any provision of these Terms is invalid, the remaining provisions remain in effect (severability / Salvatorische Klausel).
